Member Loop, LLC d/b/a CopyLoop, a Maine limited liability company ("CopyLoop," "we," "us," or "our"), provides a customer-data, website and application signal, event analytics, consent, automation, AI-assisted content, and email marketing platform. This Privacy Policy explains how we collect, use, disclose, and protect information about you when you use our platform, websites, connectors (including the CopyLoop Connector for WordPress), and related services (collectively, the "Services").

1. Scope

This Privacy Policy applies when CopyLoop determines why and how personal information is processed, including information about individuals who visit our website, create or administer CopyLoop accounts, use the Services as authorized users, communicate with us, or otherwise have a direct relationship with CopyLoop (collectively, "Users" or "you"). For that processing, CopyLoop acts as an independent data controller or business.

This Privacy Policy does not govern Customer Personal Data that we process only on a customer's behalf. This includes contact and CRM records, data about a customer's application or website users, events and identifiers sent through customer integrations or a customer-installed CopyLoop Connector, consent and preference records, Customer Communications, and personal information contained in customer documents, prompts, or other content. For that processing, CopyLoop acts as a processor or service provider under our Data Processing Agreement ("DPA"), and the applicable customer controls the processing. If your information was provided to CopyLoop by one of our customers—for example, because you use its application, visit its website, submit its form, interact with its WordPress or WooCommerce site, or receive its email—please contact that customer and review its privacy notice.

2. Information We Collect

The types of personal information we collect depend on how you interact with the Services.

Documents, prompts, email content, integration credentials, and other materials submitted for customer-directed processing are Customer Personal Data when they relate to an individual and are governed by the DPA rather than this Privacy Policy.

We may receive information about you from third-party services that you integrate with the platform, such as CRM systems (Salesforce, HubSpot). This information is limited to what is necessary to provide the integration functionality you have authorized.

We do not use Customer Data to train general-purpose or third-party AI foundation models, and we do not opt in to third-party AI-provider programs that use Customer Inputs or Outputs for such training. Customer content may be used within the applicable Workspace to provide workspace-specific brand voice, retrieval, and generation features. AI providers may retain API content for limited periods for abuse monitoring, security, legal compliance, or configured API functionality. Our current providers and their roles are listed on our Sub-processor List.

4. How We Share Your Information

We do not sell your personal information. We share your information only in the following circumstances:

We may disclose your information if we believe in good faith that disclosure is necessary to: (a) comply with applicable law, regulation, legal process, or governmental request; (b) enforce our agreements, including our Terms of Service; (c) detect, prevent, or address fraud, security, or technical issues; or (d) protect the rights, property, or safety of CopyLoop, our Users, or the public.

4.3 Business Transfers

In connection with, or during negotiations of, any merger, acquisition, sale of assets, financing, or transfer of all or a portion of our business to another company, your information may be transferred as part of that transaction. We will notify you via email or prominent notice within the Services of any such change in ownership or control of your personal information.

We may share your information with third parties when you have given us your explicit consent to do so, or at your direction (for example, when you enable a third-party integration).

We may share aggregated or de-identified information that cannot reasonably be used to identify you.

You may opt out of receiving marketing communications from us by clicking the "unsubscribe" link in any marketing email or by contacting us at privacy@copyloop.com. Even if you opt out of marketing communications, we will continue to send you transactional and service-related messages necessary for the operation of your account.

CopyLoop is based in the United States, and the Services are hosted on AWS infrastructure in the US-East-1 (Northern Virginia) region. Your information will be transferred to, stored, and processed in the United States and potentially other countries where our service providers operate.

If you are located in the European Economic Area ("EEA"), the United Kingdom ("UK"), or Switzerland, your personal information may be transferred to countries that have not been deemed to provide an adequate level of data protection by the European Commission or other relevant authorities. The Services are not directed to individuals under the age of eighteen (18). We do not knowingly collect personal information from children under 18.
